By accessing the VIU Capital platform, subscribing to any tier, or using Engine A or Engine B in any capacity, you agree to the following terms. These terms are binding upon first access and govern all subsequent use of the platform, diagnostic outputs, and associated intellectual property.
All VIU Bankability Score™ outputs, VIU Peer Index™ calculations, Shockwave Radar assessments, and related diagnostic results produced by Engine A or Engine B are qualitative analytical outputs generated by a deterministic computational framework. These outputs do not constitute investment advice, financial recommendations, credit ratings, or any form of solicitation to buy, sell, or hold any security or financial instrument. VIU Capital™ diagnostic outputs are intended exclusively for informational, research, and due diligence purposes by qualified institutional and professional users.
VIU Capital is not a registered investment adviser, broker-dealer, or financial institution under any jurisdiction. No content produced by the VIU diagnostic engine — including but not limited to scores, verdicts, narratives, peer rankings, and tearsheets — should be construed as a recommendation to take any investment action. Users are solely responsible for their own investment decisions. Past diagnostic outputs do not predict future issuer performance. The six-pillar diagnostic methodology, canonical scoring framework, pillar weighting architecture, threshold configurations, narrative engine, and all associated intellectual property are proprietary and confidential assets of The VIU Inc. Subscribers may not reverse-engineer, replicate, redistribute, resell, or publish diagnostic outputs for commercial purposes without the express written consent of The VIU Inc. Any attempt to reconstruct the methodology through systematic querying, automated scraping, or inference from outputs constitutes a material breach of these terms and grounds for immediate account termination and legal action.
Data submitted to Engine B via canonical CSV upload is processed exclusively for the purpose of generating a diagnostic output for the submitting client. The VIU Inc. does not retain, redistribute, sell, or use submitted private issuer data for any purpose beyond the immediate diagnostic computation. Submitted data is encrypted in transit and at rest. Clients are responsible for ensuring they have the legal right and appropriate authorization to submit any financial data used in Engine B diagnostics. Engine B API keys are unique, client-specific, non-transferable, and must not be shared with any third party under any circumstance. Unauthorized use of an API key constitutes a material breach of these terms.
All subscriptions are processed through Stripe, a PCI-DSS compliant payment processor. The VIU Inc. does not store payment card information. Subscription pricing is displayed at checkout and is subject to change with 30 days notice to active subscribers. Recurring subscriptions auto-renew at the end of each billing cycle. Users may cancel at any time through their account settings or by contacting access@theviuinc.com. Refunds are not provided for partial billing periods except as required by applicable law. Student tier (VBB Individual) accounts registered with a non-qualifying email address are automatically refunded in full. Tier provisioning is automatic upon payment confirmation. In the event of a provisioning failure, contact access@theviuinc.com within 48 hours.
The following uses of the VIU Capital platform are expressly prohibited and constitute grounds for immediate account termination without refund: (i) automated systematic querying for the purpose of reconstructing the scoring methodology; (ii) sharing credentials with unauthorized third parties; (iii) use of diagnostic outputs in commercial products or services without a white-label licensing agreement; (iv) submitting third-party private financial data to Engine B without authorization from the data subject; (v) any use that violates applicable securities laws, anti-money laundering regulations, or financial intelligence regulations in the user's jurisdiction; (vi) academic or commercial publication of diagnostic outputs without written attribution to VIU Capital™ and The VIU Inc.
User account data, diagnostic run history, access credentials, and usage logs are stored in Google Cloud Firestore under the viu-diagnostic project, hosted in the us-central1 region. All data is encrypted in transit (TLS 1.3) and at rest (AES-256). Data is processed in accordance with applicable Canadian privacy legislation (PIPEDA) and Google Cloud's data processing terms. Session audit logging is maintained for compliance and governance purposes. For DFI and institutional clients, all counterparties are subject to VIU FATF-aligned KYC/AML screening prior to credential issuance. NDA and Terms of Use are executed prior to activation for DFI Analyst Seat, DFI Institutional, and DFI Enterprise tiers.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these terms, the platform, or any diagnostic output shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. Where applicable, parties agree to attempt good-faith mediation before initiating litigation. The prevailing party in any dispute is entitled to recover reasonable legal fees and costs.
Engine A is live and accepts any public ticker across 55+ global exchanges. Engine B is available for institutional and DFI clients by credentialed request.
